Elpida Nominates Candidates for Board of Directors and Corporate Auditor

TOKYO, JAPAN, May 18, 2010 – Elpida Memory, Inc. (TOKYO: 6665), Japan's leading global supplier of Dynamic Random Access Memory (DRAM), today announced that earlier today its board of director's nominated a number of candidates for the board of directors and corporate auditor. The nominations will be proposed to the upcoming 11th annual general shareholders' meeting scheduled for June 25, 2010.

1. Candidates for the board of directors (* =new appointee candidates)

At the time of conclusion of the next general shareholders' meeting eight members of the current board of directors will complete their terms of office. The following individuals have been nominated as candidates for the board of directors.

In accordance with Article 2 paragraph (3) item (vii) of the Ordinance of the Companies Act Enforcement, Nobuyuki Wataki has been nominated as an outside director.


2. Directors completing their terms of office

Outside directors Toshio Nohara, Kosei Nomiya, Tsutomu Niimura and Tsugio Makimoto will complete their terms at the conclusion of the June 25 general shareholders' meeting. However, Elpida plans to nominate Toshio Nohara for corporate auditor at the general shareholders' meeting.


3. New appointee candidate for corporate auditor

At the conclusion of the June 25 general shareholders' meeting Masaji Kubo will retire early from his term of office as a corporate auditor. As indicated below, a replacement, Toshio Nohara, has been nominated to fill the vacancy that will be left by Mr. Kubo's retirement. This vacancy filling is in accordance with Section 28 of Elpida's articles of incorporation. If approved, Mr. Nohara will be in office during the remainder of Mr. Kubo's term.
